1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and OkCSV by BrainyDreamer ("OkCSV," "we," "us," or "our") concerning your access to and use of our CSV data cleaning service available at okcsv.com and our web applications (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use the Service.

2. Description of Service

OkCSV provides a web-based CSV file cleaning and processing service that allows users to:

• Upload and process CSV files
• Clean, transform, and normalize data
• Remove duplicates, handle missing values, and apply various data operations
• Download processed files in various formats
• Access additional features through our Premium subscription tier

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

3. Account Registration and Security

3.1 Account Creation

To access certain features of the Service, you must create an account by providing:

• A valid email address
• A secure password
• Any other information required during registration

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use or security breach

4. User Content and Data

4.1 Your Data Ownership

You retain all ownership rights to the CSV files and data you upload to our Service ("User Content"). We do not claim any ownership over your User Content.

By uploading User Content, you grant us a limited, non-exclusive, royalty-free license to process, store temporarily, and transmit your data solely for the purpose of providing the Service to you.

• Infringes upon intellectual property rights of others
• Contains malware, viruses, or malicious code
• Violates privacy rights or includes personal data without proper authorization
• Is defamatory, obscene, or offensive
• Contains data obtained through unauthorized means

5. Subscription Plans and Payments

5.1 Free Tier

Our Free tier provides basic CSV cleaning functionality with certain limitations on features and file processing capabilities.

5.2 Premium Subscription

Our Premium subscription provides enhanced features including:

• Unlimited file processing
• Batch file operations
• Advanced cleaning features
• Per-file override settings
• Priority support

5.3 Billing and Payment

• Payment Processing: All payments are processed securely through Stripe, our third-party payment processor.
• Billing Cycle: Premium subscriptions are billed monthly or annually, depending on your selected plan.
• Auto-Renewal: Subscriptions automatically renew unless cancelled before the renewal date.
• Price Changes: We reserve the right to modify subscription prices with 30 days' advance notice to existing subscribers.

5.4 Cancellation and Refunds

• Cancellation: You may cancel your Premium subscription at any time through your account settings or by contacting support.
• Access After Cancellation: Upon cancellation, you will retain Premium access until the end of your current billing period.
• Refund Policy: We offer refunds on a case-by-case basis. To request a refund, contact us at support@okcsv.com within 7 days of your payment.
• No Partial Refunds: We do not provide pro-rated refunds for partial billing periods.

6. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Violate any applicable laws, regulations, or third-party rights
• Use the Service to transmit harmful code, malware, or viruses
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Service or servers
• Use automated scripts, bots, or scrapers without permission
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to process data you don't have rights to process
• Resell, redistribute, or sublicense the Service without authorization
• Remove or alter any proprietary notices or labels
• Abuse our support channels or resources

7. Intellectual Property Rights

The Service, including its software, features, functionality, text, graphics, logos, and design, is owned by OkCSV and is protected by copyright, trademark, and other intellectual property laws.

"OkCSV" and associated logos are trademarks of BrainyDreamer. You may not use these trademarks without our prior written permission.

8. Service Availability and Performance

8.1 Service Availability

While we strive to provide reliable service, we do not guarantee that:

• The Service will be available 100% of the time without interruption
• The Service will be error-free or bug-free
• Any defects will be corrected within a specific timeframe

8.2 Maintenance and Downtime

We may temporarily suspend the Service for maintenance, updates, or repairs. We will provide advance notice when possible, but emergency maintenance may occur without notice.

8.3 Usage Limits

We reserve the right to impose reasonable usage limits to ensure fair access for all users and to prevent abuse of the Service.

9. Disclaimers and Warranties

9.1 "AS IS" Service

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy, completeness, or reliability of results

9.2 Data Accuracy

While our Service aims to clean and process your data accurately, we do not warrant that:

• The processed results will be error-free or meet your specific requirements
• The Service will detect all data quality issues
• Automated cleaning operations will always produce the desired outcome

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OKCSV AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Service interruptions or unavailability
• Errors, mistakes, or inaccuracies in processed data
• Any unauthorized access to or use of our servers
• Any damages arising from your use or inability to use the Service

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless OkCSV, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your User Content or data uploaded to the Service
• Any fraudulent or illegal activity conducted through your account

12. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.

By using the Service, you consent to the collection and use of your information as described in our Privacy Policy.

13. Termination

13.1 Termination by You

You may terminate your account at any time by:

13.2 Termination by Us

We reserve the right to suspend or terminate your access to the Service, with or without notice, for:

• Fraudulent, abusive, or illegal activity
• Non-payment of Premium subscription fees
• Extended periods of inactivity
• Any reason at our sole discretion

13.3 Effect of Termination

Upon termination:

• Your right to access and use the Service will immediately cease
• We will delete your account data in accordance with our Privacy Policy
• You remain liable for any outstanding fees or obligations
• Provisions of these Terms that should survive termination will remain in effect

14. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make changes, we will:

• Update the "Last Updated" date at the top of this page
• Notify users via email or through the Service
• Provide reasonable notice before changes take effect (typically 30 days for material changes)

Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.

15. Dispute Resolution

Before initiating any formal dispute resolution, you agree to first contact us at support@okcsv.com to attempt to resolve the issue informally.

15.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Belgium, without regard to its conflict of law provisions.

15.3 Arbitration

Any dispute arising from these Terms or the Service that cannot be resolved informally shall be resolved through binding arbitration, except that either party may seek injunctive relief in court for intellectual property infringement.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and OkCSV regarding the Service.

16.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

16.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

16.5 No Agency

No agency, partnership, joint venture, or employment relationship is created between you and OkCSV as a result of these Terms or your use of the Service.

16.6 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or internet service failures.
